These Terms of Business/Service (“Terms”) govern the relationship between Omni-Tech Limited (referred to herein as “we,” “our,” or “us”) and our customers (“you” or “your”) regarding the provision of our services. By engaging our services, you agree to be bound by these Terms.

1. Overview of Services

Omni-Tech Limited offers a comprehensive suite of IT solutions designed to address both business and home technology needs. Our services include, but are not limited to:

  • Web Design & Development: Creation, hosting, and ongoing maintenance of websites.
  • IT Support & Repair: PC repair and support, technical assistance, data backup and recovery, and virus/malware removal.
  • Peripheral & Device Support: Printer setup, home entertainment support (including TV and audio solutions).
  • Home & Smart Technology: Smart home and IoT setup and support.
  • System & Network Solutions: System upgrades, maintenance, and network setup and support.
  • Training & Consultancy: Tailored training programmes and IT consultancy/strategy to empower your business decisions.

2. Service-Specific Terms

2.1 Web Design & Development

  • Ownership: Websites developed and hosted by Omni-Tech remain our property. We manage domain registrations, hosting, and associated licenses on your behalf.
  • Monthly Fees: A recurring monthly fee covers design, maintenance, hosting, and support. Failure to settle payments on time may result in suspension or termination of services.
  • Termination: Termination of services does not transfer ownership of the website or its associated assets. You remain responsible for ensuring that all provided content is accurate, lawful, and non-infringing.

2.2 IT Support & Repair

  • Scope: This category includes on-site and remote technical support for PC repair, technical assistance, data backup and recovery, as well as virus and malware removal.
  • Billing: Services are billed on an hourly basis or as per the pre-agreed rate. Prior to commencing any work, we will provide a clear estimate.
  • Customer Responsibilities: You must provide safe and reasonable access to your premises and any necessary equipment.

2.3 Peripheral, Home, and Smart Technology Support

  • Scope: We facilitate printer setup, TV and home entertainment support, as well as smart home and IoT device configuration and support.
  • Billing & Access: Services are priced per service call or as per contractual agreements. You are responsible for ensuring accessible, safe, and secure installation sites.

2.4 System, Network Solutions, and Maintenance

  • Scope: Our services include system upgrades, ongoing maintenance, and the setup/configuration of networking solutions.
  • Billing: These services are provided on a service call basis or through scheduled maintenance contracts, as agreed in advance.

2.5 Training & IT Consultancy

  • Scope: We offer bespoke training sessions and IT consultancy, delivered either in-person or remotely, tailored to the specific needs of individuals or businesses.
  • Cancellations: Cancellations require at least a 48-hour notice; failure to provide such notice may incur cancellation fees.

3. Payments and Invoicing

  • Payment Methods: Accepted payment methods include bank transfers, credit/debit cards, PayPal, or cash (for in-person transactions).
  • Late Payments: Late payments may be subject to interest at a rate of [insert interest rate] per month and may result in the suspension of services.
  • Taxes: All fees are stated exclusive of applicable taxes unless otherwise noted.

4. Limitation of Liability

  • General: To the fullest extent permitted by law, Omni-Tech Limited is not liable for any indirect, incidental, or consequential damages arising from the use—or inability to use—our services.
  • Liability Cap: In no event shall our total liability exceed the fees paid for the specific service under dispute.

5. Confidentiality and Data Protection

  • Data Handling: All personal and business data provided to us will be processed in strict accordance with our Privacy Policy.
  • Your Responsibility: You are responsible for maintaining the confidentiality of your access credentials and any sensitive information associated with your account.

6. Force Majeure

Omni-Tech Limited shall not be held liable for any delays or failures in performance due to circumstances beyond our reasonable control, including (but not limited to) events of God, natural disasters, or disruptions caused by third-party service providers.

7. Amendments to Terms

We reserve the right to update or modify these Terms at any time. Any changes will be communicated to you and posted on our website. Continued use of our services will constitute acceptance of the updated Terms.

8. Governing Law and Dispute Resolution

  • Governing Law: These Terms shall be governed and construed in accordance with the laws of the Isle of Man.
  • Dispute Resolution: Any disputes arising under these Terms shall first be subject to negotiation or mediation before any legal proceedings are initiated.
